Terms of Service

These Terms of Service ("Terms") govern your access to and use of adlr.app and related services operated by ADLR Inc. ("ADLR", "we", "our", or "us"). By creating an account or using the Service you agree to these Terms.
1. Your account
You must be at least 16 years old to use the Service. You are responsible for the security of your account credentials and for all activity that happens under your account. Notify us immediately at security@adlr.app if you suspect any unauthorized access.
2. Acceptable use
You agree not to:
- Violate any law, regulation, or third-party right
- Send spam, phishing, or malware through the Service
- Attempt to disrupt, reverse-engineer, or scrape the Service
- Upload content you don't have the right to share
- Use the Service to harass or harm others
- Circumvent usage limits or resell access without written permission
3. Your content
You retain all rights to the content you upload or create in the Service ("Your Content"). You grant ADLR a limited license to host, copy, transmit, display, and process Your Content solely to operate and improve the Service on your behalf.
You are solely responsible for Your Content and for ensuring you have the rights to use it.
4. AI features
The Service includes AI features (drafts, summaries, agents). Output may be inaccurate or incomplete — you are responsible for reviewing it before relying on it. AI output is provided "as is" with no warranty of correctness or fitness for purpose.
5. Fees and billing
Paid plans are billed in advance on a recurring basis through Stripe. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change prices with at least 30 days' notice.
6. Intellectual property
The Service, including its software, design, and trademarks, is owned by ADLR and is protected by intellectual property laws. These Terms do not grant you any rights to our IP except the limited right to use the Service as described.
7. Third-party services
The Service may integrate with third-party services (email providers, calendar, payment processors, AI providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADLR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Indemnification
You agree to indemnify and hold ADLR harmless from any third-party claim arising from Your Content or your misuse of the Service, to the extent permitted by law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, create a security or legal risk, or fail to pay. On termination your rights to use the Service end; sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) will continue.
12. Governing law
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Delaware.
13. Changes
We may update these Terms from time to time. If we make material changes we will notify you via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.
